Terms and Conditions Definitions For the purposes of these Terms and Conditions, the following definitions apply: Adroit Solutions Ltd “Adroit Solutions Ltd” refers to any trainer, its successors and assigns, or any person acting on behalf of and with the authority of Adroit Solutions Ltd. Client The term “Client” means the client, or any person acting on behalf of and with the authority of the Client, as described in any registration form or any other written document provided by Adroit Solutions to the client. Guarantor “Guarantor” refers to any person(s) or entity who agrees to be liable for the debts of the client on a principal debtor basis. Services “Services” encompasses all services, including training and any other related activities, supplied by Adroit Solutions to the client. This includes advice or recommendations, services are described on invoices, quotations, training authorisations, or any other documents provided by Adroit Solutions to the client. Price “Price” means the price payable for training services, administration fees, and processing fees as agreed between Adroit Solutions and the Client, in accordance with clause 3 of this contract. Acceptance
Any instructions provided by Adroit Solutions to the client regarding the supply of services, or the client's acceptance of services delivered by Adroit Solutions, shall be deemed as acceptance of the terms and conditions specified herein.
Where more than one client is party to this agreement, all clients shall be jointly and severally responsible for the full payment of the agreed price.
Upon acceptance of these terms and conditions by the client(s), they become binding and may only be amended with the written consent of Adroit Solutions.
The client must provide Adroit Solutions with at least three days' prior written notice if unable to attend any scheduled training courses and will be liable for any costs incurred by Adroit Solutions because of non-compliance with this clause.
Adroit Solutions reserves the right to refuse admittance to courses or withhold certification if there is reasonable suspicion that the client is under the influence of drugs or alcohol, in possession of prohibited substances, or—when attending an online course—is not present, focused, or engaged.
Adroit Solutions will only accept assessment submissions from the registered participant unless prior approval has been arranged between the trainer and the client. Price and Payment
At the exclusive discretion of Adroit Solutions, pricing will be determined by one of the following methods: a) As specified in advertising materials, on the website, or within invoices issued by Adroit Solutions relating to the services provided; or b) In accordance with Adroit Solutions’ prevailing price list at the time services are rendered; or c) Based on a written quotation from Adroit Solutions (subject to applicable clauses), which shall become binding upon acceptance by the client within thirty (30) days or prior to the stated expiry date.
Adroit Solutions retains the right to amend pricing in response to any changes to the quoted services.
At the discretion of Adroit Solutions: a) Payment may be required either upon delivery, upon completion of services, or prior to the issuance of certification; or b) Payment may be requested before service delivery.
Payments must be made promptly, adhering to the due date indicated on the invoice or registration. If no such date is provided, payment is expected by the twentieth (20th) of the following month. Invoices will be sent to the client’s registered email address unless alternative arrangements have been agreed in advance.
Acceptable payment methods include direct debit, credit card (PayPal), Farmlands, or RuralCo.
GST and other applicable taxes, duties, or discounts will be added to or deducted from the price unless expressly stated as included in the quoted amount.
Receipt by Adroit Solutions of any payment other than cash shall not constitute full payment until such payment has been honoured, cleared, or recognised. Until that time, Adroit Solutions retains all ownership or rights in respect of the services. Delivery of Services
At the discretion of Adroit Solutions, services may be delivered at: a) Adroit Solutions, 23B Medway Street, Gore (in person or via Microsoft Teams/Zoom), or b) Any location deemed suitable by Adroit Solutions.
Failure by Adroit Solutions to deliver services shall not entitle either party to treat this contract as repudiated.
Adroit Solutions accepts no liability for loss of income or costs incurred by the client resulting from delays or failure to deliver services due to circumstances beyond its control (refer to General Section).
Adroit Solutions may terminate this engagement at any time if requested information is not received in a reasonable timeframe. Certification/Title
Neither certificates nor other necessary documents will be provided until: a) Adroit Solutions has received full payment, b) The client has fulfilled all requirements imposed by Adroit Solutions or any governing bodies according to their contract, c) Or there is a written agreement outlining alternative arrangements between both parties. Refunds
Partial refunds are only available if Adroit Solutions is unable or prevented from delivering the agreed services.
If services have started but is not completed for any reason, the decision and amount of refund will be determined exclusively by Adroit Solutions, based on how much service was completed.
The client agrees that Adroit Solutions bears no responsibility if the client cannot complete the services for any reason; this does not entitle the client to a refund. Liability
The client understands that services from Adroit Solutions may involve risks—such as hazardous terrain, weather, exposure to agrichemicals, or equipment use—and agrees to protect Adroit Solutions from any liability for injury or damage occurring during service delivery.
It is the client's duty to share any relevant information that could influence service provision with Adroit Solutions, and they agree to cover Adroit Solutions against claims where such information was not provided.
Adroit Solutions recognizes it must inform the client of any details that could directly or indirectly affect the services provided but accepts no responsibility for loss, damage, or injury suffered by the client where such information has not been disclosed. Consumer Guarantees Act 1993
The Consumer Guarantees Act 1993 does not apply to Adroit Solutions' services if the Client is using them for business purposes. Default and Consequences of Default
If the client’s payment is dishonoured for any reason, the client shall be liable for any dishonour fees incurred by Adroit Solutions.
If the client fails to make any payment on an invoice by its due date, the client shall indemnify Adroit Solutions for all costs and disbursements incurred in pursuing the outstanding debt, including legal fees on an own client basis and any collection agency expenses incurred by Adroit Solutions.
If the client fails to meet any obligation, including making payments, Adroit Solutions may, without affecting its other remedies, suspend or end its services and obligations under these Terms and Conditions. Adroit Solutions is not liable for client losses from these actions.
Accounts overdue by more than 30 days will incur a 10% administration fee, payable immediately. Deferment of Services
Adroit Solutions may defer services to which these terms and Conditions apply. Or defer delivery of services at any time before they are delivered by giving written notice (email or Letter) to the client. The reason for deferment of services includes but is not limited to; Insufficient numbers to deliver the services or inability by Adroit Solutions to meet its contractual obligations due to weather conditions, travel disruptions or for any other reason that Adroit solutions deem sufficient to defer provision of services.
If delivery of services is deferred, Adroit Solutions will refund the deposit paid in advance by the client to offset any losses incurred by the client. Where no deposit has been paid in advance, the client will be liable for any loss incurred by the deferment.
Where the client fails to show for agreed, arranged delivery of services by Adroit Solutions shall bill the client for any losses (including Financial) incurred because of the client failing to attend. Privacy Act 2020 (The Act)
The Client or Guarantor agrees that providing required information is mandatory and authorizes Adroit Solutions to collect, store, and use it for assessment.
Clients may request Adroit Solutions to update or correct their personal information.
Confidentiality: all information provided to Adroit Solutions will be kept confidential.
Adroit Solutions is authorised to utilise information supplied by clients for the purpose of preparing required documentation.
Conflicts of Interest: if a conflict of interest shall arise, Adroit Solutions will advise the applicant and remedy alongside them. General
If any part of these terms is invalid or unenforceable, the rest remain in effect.
Adroit Solutions is not liable for indirect losses, including lost profits, from breach of these terms.
Client remedies for breach are limited to damages capped at the service price.
The client cannot offset or deduct claims against Adroit Solutions from payments owed.
Adroit Solutions may subcontract its rights and obligations without client consent.
Terms can be revised at any time; changes take effect when Adroit Solutions notifies the client.
Neither party is liable for defaults caused by events beyond their control, such as natural disasters or industrial actions.
The failure by Adroit Solutions to enforce any provision of these Terms and Conditions shall not be treated as waiver of that provision, nor shall it affect Adroit Solutions right to subsequently enforce that provision.
Adroit Solutions deliver training and assessment through an agreement with CAA, NZTA, WorkSafe, EPA and MPI. This agreement applies only to candidates who are New Zealand citizens or permanent residents or who are approved to work in New Zealand.
Problems and complaints; please advise Adroit Solutions promptly if you are unhappy with, or uncertain about any aspect of our services. Advice Statement
In providing these services Adroit Solutions do not accept responsibility or liability to any parties who may be affected by our performance of the services.
Our advice is opinion only, based on the facts known to us and provided by the PCBU, we are not liable for errors in, or omissions from any information provided by third parties.
We will not owe any other party any duty or liability in respect of any related or other matters
We may communicate with you and others by electronic means. Including storage of files ‘online’. If communications or storage is lost or hacked, we will endeavour to recover, although if this is beyond our control, we will not be liable for any damage or loss caused thereby.
